1. Definitions

  1. Account means a registered PerkX user account.
  2. Member means a User who has successfully registered an Account.
  3. Non-Member means a User who accesses the Service without registration.
  4. Partner Exchange means a third-party virtual asset exchange, trading platform, or service provider that offers referral-based benefits, rebates, rewards, or promotions under its own terms.
  5. Referral Code / Referral Link means a code or link used by a Partner Exchange to attribute a User's registration or activity to PerkX or to another Member.
  6. Benefit(s) means any rebate, fee discount, reward, commission, campaign incentive, or similar advantage provided solely by a Partner Exchange.
  7. UID means the user identifier issued by a Partner Exchange.

2. Eligibility

  1. You must be at least sixteen (16) years old, or the minimum legal age required in your jurisdiction, whichever is higher.
  2. You must have full legal capacity to enter into a binding agreement.
  3. You must not be prohibited from using the Service under applicable laws, regulations, sanctions, or Partner Exchange rules.
  4. The Service is not intended for Users located in jurisdictions where access or use would be illegal or restricted.

3. Registration and Account Management

  1. To access certain features, you may be required to register as a Member and create an Account.
  2. You agree to provide accurate, complete, and up-to-date information.
  3. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities conducted under your Account.
  4. You must notify PerkX immediately if you suspect unauthorized access or security breaches.
  5. PerkX shall not be liable for losses resulting from your failure to safeguard your Account credentials.

4. Nature of the Service

  1. Referral and information platform only. PerkX provides referral links, informational listings, and tools that allow Users to discover and access Partner Exchange offers.
  2. No cashback or rewards provided by PerkX. PerkX does not accept, hold, distribute, or pay any cashback, rebate, reward, or commission to Users.
  3. No control over Partner Exchanges. All Benefits are provided, calculated, and administered solely by Partner Exchanges, under their own systems and rules.

4A. No Custody, No Payments, No Money Transmission

  1. PerkX does not hold, receive, store, transmit, manage, control, or custody any fiat currency, virtual assets, digital assets, stablecoins, or other value on behalf of Users.
  2. PerkX does not process payments, payouts, settlements, or withdrawals of any kind.
  3. PerkX is not a bank, payment institution, money services business, remittance provider, e-money issuer, broker, dealer, or investment adviser.
  4. All Benefits are issued directly by Partner Exchanges into the User's Partner Exchange account.
  5. PerkX has no authority to access, freeze, reverse, delay, claw back, or otherwise affect any User funds or Benefits.

4B. Partner Offers and Accuracy Disclaimer

  1. Information displayed regarding Partner Exchanges or Benefits is provided for general informational and marketing purposes only.
  2. Partner Exchange offers may change, expire, be suspended, or be region-restricted at any time without notice.
  3. PerkX does not guarantee:
    • the accuracy or completeness of offer information,
    • eligibility for any Benefit, or
    • successful referral attribution.
  4. In case of any discrepancy, Partner Exchange terms shall prevail.
  5. Listing a Partner Exchange does not imply endorsement, partnership, agency, or guarantee.

5. Partner Exchanges and Benefits

  1. Your use of any Partner Exchange is governed solely by that Partner Exchange's terms, policies, and compliance requirements.
  2. Partner Exchanges determine:
    • eligibility for Benefits,
    • attribution rules,
    • calculation methods,
    • payout schedules, and
    • reversals or clawbacks.
  3. PerkX bears no responsibility for Partner Exchange decisions or system failures.

6. UID Linking and Attribution

  1. If UID linking is supported, Users may link only UIDs that belong to them.
  2. Attribution depends entirely on Partner Exchange tracking logic and technical systems.
  3. PerkX may reject or remove UID links if misuse or abuse is suspected.

7. Prohibited Conduct

Users must not:

  1. Abuse referral systems or Benefits through wash trading, self-trading, or manipulative behavior.
  2. Use bots, crawlers, or automated tools without authorization.
  3. Attempt unauthorized access, hacking, or security testing.
  4. Provide false information or impersonate others.
  5. Violate Partner Exchange terms or applicable laws.
  6. Interfere with Service operations or other Users' access.

PerkX may investigate violations and take appropriate action.

8. Service Availability and Modification

  1. The Service is provided on a best-effort basis without guarantee of uninterrupted availability.
  2. PerkX may suspend, modify, or discontinue any part of the Service for operational, legal, or technical reasons.
  3. Partner Exchanges may be added or removed at any time.

9. No Investment Advice; Risk Disclosure

  1. PerkX does not provide financial, investment, tax, or legal advice.
  2. Trading digital assets involves significant risk, including loss of funds.
  3. Partner Exchanges operate independently and may be subject to outages, policy changes, or insolvency.

10. Intellectual Property

  1. All intellectual property rights in the Service belong to PerkX or its licensors.
  2. Users receive a limited, non-exclusive, revocable license to use the Service.
  3. Users may not copy, modify, distribute, or reverse engineer the Service without permission.

11. Suspension and Termination

  1. Users may stop using the Service at any time.
  2. PerkX may suspend or terminate access if Users violate these Terms, applicable laws, or Partner Exchange rules.
  3. Termination of PerkX access does not affect Partner Exchange Benefits already issued or denied.

12. Disclaimers

  1. The Service is provided "as is" and "as available."
  2. PerkX disclaims all warranties, including merchantability and fitness for a particular purpose.
  3. PerkX does not warrant Partner Exchange performance, accuracy, or availability.

13. Limitation of Liability

  1. To the maximum extent permitted by law, PerkX shall not be liable for indirect, incidental, consequential, or punitive damages.
  2. PerkX is not liable for missed Benefits, trading losses, or Partner Exchange actions.
  3. Where liability cannot be excluded, PerkX's total liability shall be limited to [cap amount].

14. Indemnification

You agree to indemnify and hold harmless PerkX from claims arising from your misuse of the Service, violation of these Terms, or violation of law.

15. Privacy
